Terms of Service

1. Acceptance of these terms

These terms form a binding agreement between you and Essor AWD (United Kingdom). By accessing this website, creating an account, using our AI tools, or engaging us for services, you agree to be bound by these terms. If you do not agree, please do not use our services.

2. Our services

Essor AWD provides web design and development, hosting and support retainers, related digital services, and a set of free AI-assisted tools (such as meta description, headline and site audit helpers). We may add, change, restrict or discontinue features from time to time to improve the service or to comply with legal or security requirements. Where a change materially reduces a paid service, we will give you reasonable notice.

3. User accounts

To access the client portal or admin area you must create an account or be invited to an organisation. You are responsible for:

• Keeping your password confidential and using a strong, unique password
• All activity that takes place under your account
• Ensuring the information you provide is accurate and kept up to date
• Notifying us promptly of any suspected unauthorised access

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

4. Acceptable use

You agree not to use our services to:

• Break any applicable law or regulation
• Commit fraud or misrepresent your identity
• Abuse, harass or threaten others
• Reverse engineer, decompile or attempt to derive source code
• Conduct automated attacks, scraping at scale, or denial-of-service attempts
• Attempt to gain unauthorised access to any account, system or data
• Upload, transmit or distribute malware or malicious code
• Send spam or unsolicited bulk communications
• Upload unlawful, defamatory, obscene or infringing content
• Infringe the intellectual property rights of others

5. AI disclaimer

Our AI-assisted tools generate suggestions using third-party AI systems. Output can be inaccurate, incomplete, biased, out of date or otherwise unsuitable for your purpose. All AI output must be reviewed and edited by a human before being used or published. You remain solely responsible for any decision you take, or content you publish, based on AI output. We give no warranty that any AI output will be accurate, error-free, non-infringing or fit for a particular purpose.

6. Payments

Where paid services apply, pricing, scope and payment terms are set out in a written proposal, quote or subscription plan. Payments are processed securely by Stripe; we do not store full card details. Unless otherwise agreed:

• Prices are quoted in GBP and are exclusive of VAT unless stated otherwise
• Recurring plans renew automatically until cancelled
• You may cancel a recurring plan at the end of the current billing period
• Fees already paid are non-refundable except where required by law or expressly agreed
• We may suspend paid services if invoices remain unpaid after due notice

7. Intellectual property

All branding, source code, design system, graphics, tools and website content on this site remain the property of Essor AWD or its licensors and are protected by copyright, trade mark and other applicable laws. Nothing in these terms transfers ownership of our intellectual property to you. Deliverables produced under a signed client agreement are governed by that agreement.

You retain ownership of the content you upload. You grant us a limited licence to host, process and display that content only as needed to deliver the services.

8. Limitation of liability

Nothing in these terms limits or excludes any liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Subject to the above, we will not be liable for any indirect, special, consequential or purely economic loss, loss of profits, loss of business, loss of goodwill, or loss or corruption of data arising from your use of the services. Our total aggregate liability arising out of or in connection with the services in any 12-month period will not exceed the total fees paid by you to us in that period, or £100 where no fees have been paid.

9. Indemnity

You agree to indemnify and hold Essor AWD harmless from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your misuse of the services, your breach of these terms, or your infringement of any third-party rights.

10. Suspension and termination

We may suspend or terminate access to any account, tool or workspace immediately if we reasonably believe there has been a breach of these terms, a security risk, or abusive behaviour. We will give notice where it is safe and lawful to do so. On termination, provisions that by their nature should survive — including intellectual property, limitation of liability and governing law — will continue to apply.

11. Governing law

These terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales, save that we may enforce these terms in any court of competent jurisdiction.
